This is an agreement (hereinafter, the "Agreement") between Measureful Inc. (hereinafter, "Measureful", "us" or "we") and you, the individual or legal entity you listed on the account and on whose behalf you are entering this Agreement (“you”) and sets forth the terms and conditions which govern your use of measureful.com (the “Site”) and/or any related services (hereinafter, the "Services") accessed through the Site.
PLEASE READ THIS AGREEMENT CAREFULLY BEFORE ACCESSING OR USING THE SITE AND/OR SERVICES. IF YOU DO NOT WISH TO BE BOUND BY THESE TERMS AND CONDITIONS, YOU MAY NOT ACCESS OR USE THE SITE OR SERVICES AND SHOULD IMMEDIATELY CEASE SUCH USE. If you accept this Agreement, you represent that you have the capacity to be bound by it or if you are acting on behalf of a company or entity that you have the authority to bind such entity.
Unless otherwise specified, Measureful grants to you a non-exclusive and non-transferable limited right and license to access the Site and use the Services for your personal use or for your internal business purposes (but not on behalf of any third party) provided that you agree with and comply fully with the provisions of this Agreement. Certain features of the Site or Services may be available only to registered users.
If any portion of the Site or Services require you to open an account, you must complete the registration process by providing Measureful with current, complete and accurate information, as prompted by the applicable registration form if you wish to have access to such features. You further agree to keep any registration information you provide to Measureful current, complete and accurate.
As part of the registration process, you may be asked to select a username and password. You are entirely responsible for maintaining the security and confidentiality of your account information and password. FURTHERMORE, YOU ARE ENTIRELY RESPONSIBLE FOR ANY AND ALL ACTIVITIES AND CONDUCT, WHETHER BY YOU OR ANYONE ELSE, THAT ARE CONDUCTED THROUGH YOUR ACCOUNT. You agree to notify Measureful immediately of any unauthorized use of your account or any other breach of security. Measureful will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you may be held liable for any losses incurred by Measureful or another party due to someone else using your account or password.
In connection with your use of the Sites and/or the Services, you acknowledge and agree that you will not:
A portion of the Content contained on the Site or Services may be supplied by third parties with your consent, such as our commerce platform partners or other users. Measureful is a distributor (and not a publisher) of such Content and has no more editorial control over such Content than does a public library, bookstore, or newsstand. Any opinions, advice, statements, services, offers, or other information or Content expressed or made available by third parties, including information providers, are those of the respective authors or distributors, and not Measureful. Neither Measureful nor any third-party provider of information guarantees the accuracy, completeness, or usefulness of any Content. Furthermore, Measureful neither endorses nor is responsible for the accuracy and reliability of any opinion, advice, or statement made on the Site or Services by any third party.
By using the Service, you expressly authorize Measureful to access your information maintained by identified third parties, including partners such as Google Analytics, on your behalf as your agent. When you use the “Connect Accounts” feature of the Service, you will be directly connected to the website for the third party you have identified. Measureful will submit information including usernames and passwords that you provide to log you into the third party site. You hereby authorize and permit Measureful to use and store information submitted by you to the Service (such as account passwords and user names) to accomplish the foregoing and to configure the Service so that it is compatible with the third party sites for which you submit your information. For purposes of this Agreement and solely to provide the account information to you as part of the Service, you grant Measureful a limited power of attorney, and appoint Measureful as your attorney-in-fact and agent, to access third party sites, retrieve and use your information with the full power and authority to do and perform each thing necessary in connection with such activities, as you could do in person. YOU ACKNOWLEDGE AND AGREE THAT WHEN MEASUREFUL IS ACCESSING AND RETRIEVING ACCOUNT INFORMATION FROM THIRD PARTY SITES, MEASUREFUL IS ACTING AS YOUR AGENT, AND NOT AS THE AGENT OF OR ON BEHALF OF THE THIRD PARTY.
By sending or transmitting to us information or other materials or authorizing us to collect information or other materials regarding you or your company from third parties, including financial information related to the performance of your company (collectively " Submission Materials"), you hereby grant to us a sublicensable, assignable, royalty-free, perpetual right to use, reproduce, distribute, create derivative works of and digitally perform such Submission Materials in any media now known or hereafter devised as necessary or desirable to operate the Site and Service, but at all times, in accordance with Measureful’s Privacy Policy. You represent that (i) you have the right to provide the Submission Materials to Measureful pursuant to the license grant above and (ii) all Submission Materials are true, accurate, current and complete, including the information about your accounts maintained at other web sites, as requested in our “add account” setup forms.
You understand and acknowledge that (i) the software, code, proprietary methods and systems used to provide the Site or Services, (ii) the design, look and feel of our template reports, (iii) the graphical elements of our template reports, (iv) the Content other than the Content submitted by you or on your behalf and (v) any intellectual property therein (collectively, “Our Intellectual Property”) may not be copied, modified, reproduced, republished, posted, transmitted, sold, offered for sale, or redistributed in any way without our prior written permission and the prior written permission of our applicable licensors. You acknowledge and agree that Our Intellectual Property is the sole property of Measureful or its licensors. You must abide by all copyright notices, information, or restrictions contained in or attached to any of Our Intellectual Property. Nothing in this Agreement grants you any right to receive delivery of a copy of Our Intellectual Property or to obtain access to Our Intellectual Property except as generally and ordinarily permitted through the Site according to this Agreement. Furthermore, nothing in this Agreement will be deemed to grant, by implication, estoppel or otherwise, a license to Our Intellectual Property. Certain of the names, logos, and other materials displayed on the Site or in the Services constitute trademarks, trade names, service marks or logos (“Marks”) of Measureful or other entities. You are not authorized to use any such Marks. Ownership of all such Marks and the goodwill associated therewith remains with us or those other entities. Any use of third party software provided in connection with the Site or Services will be governed by such third parties’ licenses and not by this Agreement. You hereby authorize Measureful to use your company’s name and Marks for the sole purpose of identifying your company as a customer of Measureful, including any listings on the Site or in other promotional materials.
In the event that you provide us any ideas, thoughts, criticisms, suggested improvements or other feedback related to our Site or Services (collectively “Feedback”), you agree we may use the Feedback to modify our products and services and that you will not be due any compensation, including any royalty related to the product or service that incorporates your Feedback. You grant to us a worldwide, royalty-free, fully paid, perpetual, irrevocable license to use, reproduce, modify, translate, distribute, perform, display, import, sell, offer for sale, make, have made and otherwise exploit the Feedback in any form, media, or technology, whether now known or hereafter developed, and to allow others to do the same. This is true whether you provide the Feedback in the any Submission Materials, email or any other method of communication with us unless we have entered into a separate agreement with you that provides otherwise.
We are committed to your privacy and security. For more information, you should review our Privacy Policy. While there is no such thing as "perfect security" on the Internet, we will take reasonable steps to help ensure the safety of your personal information. However, you understand and agree that such steps do not guarantee that the Site and the Services are invulnerable to all security breaches or immune from viruses, security threats or other vulnerabilities. We do not warrant that your information will be secure.
Unless waived by Measureful in writing, all of the rights granted to you in this Agreement and all of Measureful’s obligations are subject to your payment of the applicable then current Measureful monthly subscription fees. All fees are due and payable in advance with the first monthly subscription fee due upon the registration of your account. Your service term will be renewed automatically on a monthly basis. Measureful reserves the right to modify the fees at any time and such modified fees will be applicable to you upon thirty (30) days’ notice.
All fees must be paid by credit card. By authorizing Measureful to charge a charge card or other credit card, you are authorizing Measureful or a designated representative or agent to automatically continue charging that card (or any replacement credit card account if the original card is renewed, lost, stolen, or changed for any reason by the credit-issuing entity, and such entity informs Measureful of such new replacement card account), financial account, or billing account for all fees and charges associated with the Services. If the credit card information you provided is not valid, or if your credit card can not be processed at the time of the renewal charge, Measureful reserves the right to immediately terminate or suspend your access to the Services, in the case of termination thereby terminating this Agreement and all of Measureful’s obligations hereunder.
Measureful reserves the right to stop accepting credit cards from one or more issuers. You hereby authorize Measureful (or a third-party payment processing service engaged by Measureful) to charge and/or place a hold on your credit card with respect to any unpaid charges for the Services. You authorize the issuer of the credit card to pay any amounts described herein without requiring a signed receipt, and you agree that this Agreement is to be accepted as authorization to the issuer of the credit card to pay all such amounts. You authorize Measureful and/or a third-party credit card processing service engaged by Measureful to continue to attempt to charge and/or place holds with respect to all sums described herein, or any portion thereof, to your credit card until such amounts are paid in full. You agree to provide Measureful with updated credit card information upon Measureful’s request and any time the information you previously provided is no longer valid. You acknowledge and agree that neither Measureful nor any third-party payment processing service engaged by Measureful will have any liability whatsoever for any non-sufficient funds or other charges incurred by you as a result of such attempts to charge, and/or place holds on, your credit card.
If you believe you have been billed by Measureful in error in connection with the Services, you must notify Measureful within thirty (30) days of the billing date by contacting Customer Service about the error. Customer Service can be reached at the phone number provided on the Site. Measureful will not issue refunds or credits after the expiration of this 30-day period, except where required by law or regulation.
THE SITE AND THE SERVICES, AND ANY CONTENT, TOOLS, PRODUCTS OR SERVICES DISPLAYED, ACCESSED OR OBTAINED ON OR THROUGH THE SITES AND SERVICES ARE PROVIDED "AS IS", "AS AVAILABLE", AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE, NON-INFRINGEMENT, SYSTEM INTEGRATION, DATA ACCURACY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, MEASUREFUL AND ITS AFFILIATES, SUPPLIERS, AND AGENTS DO NOT WARRANT AND EXPRESSLY DISCLAIM THAT: (i) YOUR USE OF THE SITES AND/OR SERVICES AND ACCESS TO AND USE OF ALL OF THE TOOLS AND FEATURES THEREON WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, (ii) THAT ANY INFORMATION OBTAINED THEREIN IS ACCURATE, RELIABLE OR COMPLETE, (iii) THAT DEFECTS WILL BE CORRECTED, or (iv) THAT ANY SOFTWARE, SERVICES, SITES OR SERVER(S) ON WHICH THE SERVICES AND SITES ARE HOSTED ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SITE AND THE SERVICES AND ANY INFORMATION OR MATERIALS PROVIDED ON OR THROUGH THE SITES AND SERVICES ARE ENTIRELY AT YOUR OWN RISK.
YOU ACKNOWLEDGE AND AGREE THAT WE ARE ONLY WILLING TO PROVIDE ACCESS TO THE SITE AND TO PROVIDE THE SERVICES IF YOU AGREE TO CERTAIN LIMITATIONS OF OUR LIABILITY TO YOU AND TO THIRD PARTIES. NEITHER MEASUREFUL NOR ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS OR SPONSORS ARE RESPONSIBLE OR LIABLE TO YOU OR ANYONE ELSE FOR ANY LOSS OR INJURY OR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE OR OTHER DAMAGES UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER THEORY ARISING OUT OF OR RELATING IN ANY WAY TO (i) THE USE OF OR INABILITY TO USE THE SITES OR THE SERVICES; (ii) ANY CONTENT CONTAINED ON THE SITES AND/OR THE SERVICES; (iii) STATEMENTS OR CONDUCT POSTED OR MADE PUBLICLY AVAILABLE ON THE SITES AND/OR THE SERVICES; (iv) ANY PRODUCT OR SERVICE PURCHASED OR OBTAINED THROUGH THE SITES; (v) ANY ACTION TAKEN IN RESPONSE TO OR AS A RESULT OF ANY INFORMATION AVAILABLE ON THE SITES OR THE SERVICES; (vi) ANY DAMAGE CAUSED BY LOSS OF ACCESS TO, DELETION OF, FAILURE TO STORE, FAILURE TO BACK UP, OR ALTERATION OF ANY CONTENT ON THE SITES OR THE SERVICES, or (vii) ANY OTHER MATTER RELATING TO THE SITES AND/OR THE SERVICES. IN NO EVENT SHALL MEASUREFUL'S TOTAL LIABILITY TO YOU FOR ANY AND ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT, STATUTORY, OR OTHERWISE) EXCEED THE GREATER OF: (i) ONE HUNDRED DOLLARS ($100.00) OR (ii) THE TOTAL AMOUNT PAID OR PAYABLE BY YOU TO US, IF ANY, FOR USING ANY OF THE SERVICES OR THE SITE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF CERTAIN TYPES OF LIABILITY. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS AND DISCLAIMERS MAY NOT APPLY TO YOU. TO THE EXTENT THAT WE MAY NOT, AS A MATTER OF APPLICABLE LAW, DISCLAIM ANY IMPLIED WARRANTY OR LIMIT LIABILITIES, THE SCOPE AND DURATION OF SUCH WARRANTY AND THE EXTENT OF OUR LIABILITY WILL BE THE MINIMUM PERMITTED UNDER SUCH APPLICABLE LAW.

NEITHER MEASUREFUL NOR THE SERVICE IS INTENDED TO PROVIDE LEGAL, TAX OR FINANCIAL ADVICE. MEASUREFUL IS NOT A FINANCIAL PLANNER, BROKER OR TAX ADVISOR. The Service is intended only to assist you in your financial organization and decision-making and is broad in scope. Your financial situation is unique, and any information and advice obtained through the Service may not be appropriate for your situation. Accordingly, before making any final decisions or implementing any financial strategy, you should consider obtaining additional information and advice from your accountant or other financial advisers who are fully aware of your individual circumstances.
You agree to indemnify, defend, and hold Measureful and its subsidiaries, affiliates, officers, directors, agents, co-branders or other partners, employees, and representatives harmless from and against any and all claims, damages, losses, costs or expenses (including reasonable attorneys' fees and disbursements) which arise directly or indirectly out of or from (i) your breach of this Agreement, (ii) any allegation that any materials that you submit to Measureful infringe or otherwise violate the copyright, trade secret, trademark or other intellectual property rights, or any other rights of a third party, or (iii) your access or use of the Site and/or the Services. This Section shall survive in the event this Agreement is terminated for any reason.
Measureful makes no representation or warranty that the content and materials on the Site and/or the Services are appropriate or available or appropriate for use in locations outside the United States. Those who choose to access the Site or use the Services from other locations do so on their own initiative and at their own risk, and are responsible for compliance with local laws, if and to the extent applicable. Measureful reserves the right, at any time in our sole discretion, to limit the availability and accessibility of the Site and/or the Services to any person, geographic area, or jurisdiction we so desire, and to limit the quantities of any such Service or products that we provide.
This Agreement shall remain effective until terminated in accordance with its own terms and conditions. You agree that Measureful, in its sole discretion, may terminate your password, account (in whole or in part), or use of the Site or Services, and remove and discard any content within the Sites, at any time and for any reason. You agree that any actions taken under this Section may be effective without prior notice to you. YOU AGREE THAT WE WILL NOT BE LIABLE TO YOU OR ANY OTHER PARTY FOR ANY TERMINATION OF YOUR ACCESS TO THE SITE OR SERVICES OR DELETION OF YOUR ACCOUNT OR YOUR SUBMISSION MATERIALS. In the event of termination, however, those Sections in this Agreement which, by their nature, survive termination of the Agreement shall so survive.
This Agreement (including the Privacy Policy) constitutes the entire agreement and understanding between you and Measureful and governs your use of the Site and the Services, superseding any prior agreements between you and Measureful. This Agreement and the relationship between you and Measureful shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. You and Measureful irrevocably agree to submit to the personal and exclusive jurisdiction of the federal and state courts located in the State of New York located in New York City, and waive any jurisdictional, venue, or inconvenient forum objections to such courts. The failure of Measureful to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. If any provision of this Agreement is found by a court of competent jurisdiction to be unlawful, void or for any reason unenforceable, then that provision shall be deemed severed herefrom and shall not affect the validity and enforceability of any remaining provisions. The section titles in this Agreement are for convenience purposes only and have no legal or contractual effect. This Agreement is not assignable, transferable or sub-licensable by you except with our prior written consent. However, we may assign this Agreement to any third party whom we choose without your consent. No waiver by Measureful of any breach or default hereunder shall be deemed a waiver of any preceding or subsequent breach or default. You acknowledge that we have the right hereunder to seek an injunction, if necessary, to stop or prevent a breach of your obligations hereunder.
We can only give you the benefits of our service by conducting business through the Internet, and therefore we need you to consent to our giving you Communications electronically. This Section 16 informs you of your rights when receiving Communications from us electronically. For contractual purposes, you (i) consent to receive communications from us in an electronic form; and (ii) agree that all terms and conditions, agreements, notices, documents, disclosures, and other communications (“Communications”) that we provide to you electronically satisfy any legal requirement that such Communications would satisfy if it were in writing. Your consent to receive Communications and do business electronically, and our agreement to do so, applies to all of your interactions and transactions with us. The foregoing does not affect your non-waivable rights. You may also receive a copy of this Agreement. You may withdraw your consent to receive Communications electronically by contacting us in the manner described below. If you withdraw your consent, from that time forward, you must stop using the Site and Services. The withdrawal of your consent will not affect the legal validity and enforceability of any obligations or any electronic Communications provided or business transacted between us prior to the time you withdraw your consent. Please keep us informed of any changes in your email or mailing address so that you continue to receive all Communications without interruption.
We reserve the right to modify or discontinue the Site or Services with or without notice to you. We will not be liable to you or any third party should we exercise our right to modify or discontinue the Site and/or Services. If you object to any such changes, your sole recourse will be to cease access to the Site or Services. Continued access to the Site or Services following notice of any such changes will indicate your acknowledgement of such changes and satisfaction with the Site or Services as so modified.
Measureful may modify this Agreement at any time. If such change is material, we will post notice of the change on the Site’s home page or by email to registered users. Your use of the Site following such notice shall be deemed your acceptance of such changes. You agree to review the Agreement periodically to be aware of such modifications.
Measureful Inc. (“Measureful”) is committed to protecting your privacy and the privacy of your customers. We have prepared this Privacy Policy to describe to you our practices regarding the collection and use of data from users of our website, located at Measureful.com (“Site”), and related Services (as defined in the Terms of Use). It also describes the choices available to you regarding our use of your personal information and how you can access and update this information. If you simply browse the Site you are referred to in this Privacy Policy as a “Visitor.” If you have registered with the Site and receive Services you are referred to in this Privacy Policy as a “Subscriber.”

Your Visitor Data, Subscriber Data or Commerce Data, as applicable, may be processed in the country in which it was collected and in other countries, including the United States, where laws regarding processing of personal data may be less stringent than the laws in your country.
We collect Personal Visitor, Subscriber and Commerce Data as described below:
When you provide us feedback or contact us via e-mail we will collect your name and e-mail address, as well as any other content included in the e-mail, in order to send you a reply. We may collect your first and last name, e-mail address, professional title, company name, and password when you create an Account. We may collect Personal Data on the Site when we make clear that we are collecting it and you voluntarily provide it, for example, when you add additional services to your account. We also collect other types of data that you provide to us voluntarily, such as your operating system and version, product registration number, and other requested information if you contact us regarding support for the Services. We retain information on your behalf, such as files and messages that you store using your account.
We may collect Commerce Data directly from you through the Site. We may also receive Commerce Data about you, your company or your customers from our partners, including Google Analytics. This information may include various financial data relating to your company’s e-commerce website. This information may be shared with us manually or automatically through the establishment of an application programming interface (API) with our partner. We may add this information to the Commerce Data we have already collected from you via our Site in order to improve the Services we provide.
In general, Personal Data is used either to respond to requests that you make or to aid us in serving you better. We use such Personal Data in the following ways:
Unless we have a separate authorization from the data subject, we will not use the Commerce Data we collect for any reason other than to provide the Services the Subscriber requests and improve the quality of experience when the Subscriber interacts with our Site or Services. For illustration purposes only, we may use the name of a customer of Subscriber to help the Subscriber analyze that particular customer’s spending habits as part of our Services, but we will never contact that customer directly for marketing purposes.
We may create Anonymous Data records from Visitor, Subscriber and Commerce Data by subjecting it to de-identification through the removal of all personally identifying data (including, but not limited to, names, addresses, phone numbers and email addresses) and through the use of generally accepted statistical de-identification techniques.
Measureful may use Anonymous Data, for illustration purposes only, to generate benchmarks and indices as part of our Service, to issue a press release as to the total revenue amount of our U.S. customers, to produce analysis of shopping cart abandonment rates, or to analyze request and usage patterns so that we may enhance the content of our Services and improve Site navigation. Measureful reserves the right to use Anonymous Data for any purpose and disclose Anonymous Data to third parties at its sole discretion.
We partner with a third party ad network to manage our advertising on other sites. Our ad network partner uses cookies and Web beacons to collect non-personally identifiable information about your activities on this and other Web sites to provide you targeted advertising based upon your interests.
We will periodically send you free newsletters and e-mails that directly promote the use of our Site or Services. When you receive newsletters or promotional communications from us, you may indicate a preference to stop receiving further communications from us and you will have the opportunity to “opt-out” by following the unsubscribe instructions provided in the e-mail you receive or by contacting us directly at [email protected]. Even if you opt-out of receiving marketing related email messages, we will continue to send you service related communications, including notices related to your account or any updates to our Terms of Use or Privacy Policy.
You may change any of your Personal Data in your account by editing your profile within your account or by sending an e-mail to us at [email protected]. You may request deletion of your Personal Data by us, but please note that we may be required to keep this information and not delete it (or to keep this information for a certain time, in which case we will comply with your deletion request only after we have fulfilled such requirements). When we delete any information, it will be deleted from the active database, but may remain in our archives. We will retain and use your information as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements.
We disclose your Personal Data as described below and as described elsewhere in this Privacy Policy. We do not sell your personal information to third parties.
In order to perform Services, we may contract with third party service providers, including service providers who may process payments on our behalf or provide technical support. These third parties may have access to user data required to perform their functions. All such parties are required to enter into a written agreement with us that they will not use the user data for any purpose other than to provide the services requested by Measureful.
We may share some or all of your Personal Data with our parent company, subsidiaries, joint ventures, or other companies under a common control (“Affiliates”) for market research or other purposes, in which case we will require our Affiliates to honor this Privacy Policy. If another company acquires our company, business, or our assets (including in connection with a bankruptcy proceeding), that company will possess the Personal Data collected by us and will assume the rights and obligations regarding the Personal Data as described in this Privacy Policy.
Regardless of any choices you make regarding your Personal Data (as described below), Measureful may disclose Personal Data if it believes in good faith that such disclosure is necessary (a) in connection with any legal investigation; (b) to comply with relevant laws or to respond to subpoenas or warrants served on Measureful; (c) to protect or defend the rights or property of Measureful or users of the Services; and/or (d) to investigate or assist in preventing any violation or potential violation of the law, this Privacy Policy, or Terms of Use.
Measureful is committed to protecting the security of your Personal Data. We use a variety of industry-standard security technologies and procedures to help protect your Personal Data from unauthorized access, use, or disclosure. When you enter information in our form fields, we encrypt the transmission of that information using secure socket layer technology (SSL).
